The terms of using FlexiEle.

By accessing or using the FlexiEle platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the platform.

These terms apply to all users of the platform, including administrators, registered managers, care and nursing staff, and other employees of the Customer organisation. A separate written order form or master services agreement between FlexiEle and the Customer prevails over these terms to the extent of any conflict.

• “Platform” — the FlexiEle software, including the Care Management System, HR & workforce modules, and all related features and services.
• “Customer” — the care provider organisation that has subscribed to FlexiEle services.
• “User” — any individual authorised by the Customer to access the Platform.
• “Services” — all functionality provided through the Platform, including care planning, daily notes, clinical monitoring, handover, bed management, incidents, rota and scheduling, onboarding, and the HR and payroll modules.

On subscribing, FlexiEle grants the Customer a limited, non-exclusive, non-transferable licence to access and use the Platform for its internal care and business operations for the duration of the subscription.

As a User of the Platform, you agree to:

The Customer remains responsible for the clinical and care decisions taken by its staff. FlexiEle provides tooling and evidence (for example NEWS2 scoring shown with guidance) but does not provide medical advice or make care decisions.

FlexiEle strives to maintain high platform availability. We reserve the right to:

• Perform scheduled maintenance with advance notice to Customers
• Conduct emergency maintenance without prior notice where necessary for security or stability
• Update, modify or enhance Platform features to improve service quality

FlexiEle retains all rights to the Platform itself — its software, design, user interface, documentation and related intellectual property. The FlexiEle name, logo and branding are trademarks of FlexiEle.

• Subscription fees are charged per occupied bed, per month, per the plan selected by the Customer, billed monthly.
• Payment is due within 30 days of the invoice date unless otherwise agreed in the contract.
• Late payment may result in service suspension after appropriate notice.
• All fees are exclusive of VAT, which is added to invoices as required by law.

There is no multi-year lock-in; the subscription may be ended on 30 days’ notice.Contact us for the current commercial terms.

In no event shall FlexiEle’s total liability exceed the amount paid by the Customer for the Services during the twelve (12) months preceding the claim. Nothing in these terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence.

Either party may terminate the service agreement:

On termination, FlexiEle provides data-export assistance for 30 days. After that period, Customer data is securely deleted or returned in line with the Data Processing Agreement.

These Terms of Service are governed by and construed in accordance with the laws of England & Wales. Any dispute arising from these terms or from use of the Platform is subject to the exclusive jurisdiction of the courts of England & Wales.

FlexiEle may modify these terms from time to time. Material changes will be communicated to Customers by email at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
